Terms and Conditions for AdverAU

Effective Date: July 30, 2025

These Terms and Conditions ("Terms") govern your use of services provided by AdverAU ("Adver," "we," "us," or "our"), an Australian company based in Brighton, Victoria. By engaging our services, accessing our website (adver.com.au), or participating in our community forum, you ("Client" or "you") agree to these Terms. If you do not agree, do not use our services.

1. Services

We provide comprehensive marketing support for startups, including:

• Videography and photography.
• SEO, Google Ads, and social media marketing.
• Content creation and website development.
• Access to a private community forum for idea sharing and problem-solving.

Services are outlined in your signed contract or proposal.

2. Payment Terms

Our annual package is $8,999 AUD, however this sum changes dependent on client situation and its needs. (GST inclusive where applicable). We offer a deferred payment model:

• 40% ($3599 AUD) upfront upon contract signing.
• 60% ($5399 AUD) due 12 months later, regardless of business performance.

Payments are non-refundable except as required by Australian Consumer Law (ACL). Late payments incur 5% monthly interest. We accept bank transfer or credit card (with 2% surcharge). All prices in AUD; you cover any currency conversion fees.

3. Client Obligations

You must:

• Provide accurate information and timely feedback.
• Grant us necessary access (e.g., to websites or social accounts).
• Comply with forum rules (no spam, confidential info sharing, or illegal content—we moderate and may remove posts).

You warrant your content does not infringe third-party rights.

4. Intellectual Property

We retain ownership of our tools, templates, and pre-existing materials. Upon full payment, you receive a perpetual, non-exclusive license to use deliverables (e.g., websites, content) for your business. Forum contributions are licensed to us for moderation and display.

5. Warranties and Limitations

We warrant services will be provided with due care and skill, per ACL. However:

• Results (e.g., traffic increases) are not guaranteed due to external factors.
• We are not liable for indirect losses (e.g., lost profits) or amounts exceeding fees paid.
• Total liability is capped at the package price.

You indemnify us against claims arising from your content or misuse of services.

6. Termination

Either party may terminate with 30 days' notice. We may terminate immediately for breach (e.g., non-payment). Upon termination, outstanding fees (including deferred amounts) become due. Forum access ends.

7. Dispute Resolution

Disputes are resolved via negotiation, then mediation in Victoria. Governing law: Victoria, Australia. Courts in Melbourne have exclusive jurisdiction.

8. General

• Force Majeure: No liability for delays due to events beyond control (e.g., pandemics).
• Severability: Invalid terms do not affect others.
• Amendments: We may update Terms with notice; continued use implies acceptance.
• Entire Agreement: These Terms supersede prior understandings.
